I'm a Board Advisor & Governance Professional.

Working with the Board of Directors and the Chair of the Board, I help organizations to create annual governance workplans and schedules to cover all the many governance topics that a board and its directors need to address each year.

I also create committee structures for large public organizations and medium sized companies, including Audit, Governance and Nominating, Compensation, and Risk committees.

I have a lot of experience, both with publicly traded and private companies, with creating Board meeting agendas, proposed resolutions, and effectiveness surveys to increase Board performance.

With my cross-border Canada-US governance experience, business background, and knowledge as tech-founder, technology lawyer, and privacy professional, I have held director positions with large to small organizations.

I also help Boards in an advisory role, joining meetings regularly or as needed to advise on specific topics, including governance, legal, privacy, and strategy.

I’ve helped organizations, from large public companies to small private corporations, to create their Code of Conduct, Ethics Reporting procedures (whistleblower policies), and internal employment policies.

I’ve advised Boards of public and privacy companies on environmental, social, and governance (ESG) topics.

I currently serve as the Corporate Secretary and Board advisor of a sustainable technology innovator revolutionizing sustainable packaging with 100% compostable and affordable plant-based solutions.

I have also helped organizations develop inclusion policies for Board and executive team positions.

Among the several governance topics I cover with my clients, I help organizations create effective governance programs designed to engage stakeholders and to respond to feedback, complaints, and opportunities that come up.

I’ve held Corporate Secretarial positions with large public companies and smaller organizations. I also work with internal team members, such as paralegals and accountants, to manage corporate structures and subsidiaries.
